Terms of Service

These Terms of Service apply to any paying or trial customer of the KirinAI platform, including your authorised users and any API integrations you build against our services.

KirinAI operates on a recurring subscription model. The base workspace subscription is USD $20 per month, billed in advance on the calendar day on which you first activated the subscription (or the closest prior day, for months that do not contain that date). Usage charges, if any, are metered and invoiced alongside the subscription fee.

By subscribing you authorise us (and our payment processor, FIUU) to charge your nominated card for each billing period until you cancel. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period, and we do not prorate partial months.

We may change the subscription price with at least thirty (30) days' notice by email to your account's primary address. If you do not agree to the new price, you may cancel before it takes effect; continued use after the effective date constitutes acceptance of the new price.

Subscription fees are non-refundable except where required by law. If you believe you were charged in error, email billing@kirinai.com within thirty (30) days and we will investigate in good faith.

We aim for 99.5% monthly uptime for the production API, excluding scheduled maintenance windows. We publish maintenance windows at least 48 hours in advance on the status page.

You retain ownership of the data you upload. We process that data only to deliver the service, improve model performance for your own tenant, and comply with law. We treat your data as confidential and will not share it with third parties except sub-processors listed in our Privacy Policy.

We may suspend or terminate your access if (a) you fail to pay after two reminders, (b) you materially breach these terms or our Acceptable Use Policy, or (c) we are compelled to do so by law. Where practical we will notify you before suspension and give you an opportunity to cure the issue.

Upon termination, we will provide a reasonable export window — not less than 30 days — after which your stored data may be permanently deleted.

KirinAI's outputs are probabilistic and may contain errors, hallucinations, or inaccuracies. You are responsible for reviewing outputs before acting on them, particularly in regulated settings (legal, medical, financial). The service is provided "as is" without warranties of merchantability or fitness for a particular purpose, to the fullest extent permitted by law.

To the fullest extent permitted by law, our aggregate liability for any claim arising out of or related to the service will not exceed the amounts you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

You agree to defend and indemnify us against third-party claims arising from (a) your content, (b) your violation of these terms, or (c) your violation of applicable law.

These terms are governed by the laws of the Republic of Singapore. The parties will first attempt informal resolution for 30 days; any unresolved dispute is subject to the exclusive jurisdiction of the Singapore courts.
